These Terms of Service (“Terms“) govern your access to and use of the websites siwinn.com and siwinntag.com (collectively, the “Sites”) and any products, samples, quotations, or services offered by SIWINN Technology Co., Ltd. (“SIWINN“, “we“, “us“, or “our“).
By accessing the Sites, submitting an inquiry, requesting a sample, or placing an order, you (“Customer” or “you“) agree to be bound by these Terms. If you do not agree, please do not use the Sites or our services.
1. Business-to-Business Use Only
SIWINN provides industrial manufacturing services and asset identification products exclusively to businesses, organizations, and trade professionals. The Sites and our services are not intended for consumers. By using our services, you represent that you are acting in a commercial or professional capacity, are at least 18 years of age, and have the legal authority to bind your organization to these Terms.
2. Quotations and Orders
- Quotations: Prices, lead times, and specifications shared in quotations are valid for 30 days from issue date unless otherwise stated. Quotations are non-binding and may be revised based on raw material price fluctuations, order volume, customization complexity, or freight changes.
- Order acceptance: An order is considered binding only after we issue a written Proforma Invoice (PI) and receive your countersigned acceptance, deposit payment, or written PO confirmation.
- Custom specifications: You are responsible for the accuracy of drawings, technical specifications, materials, surface finish requirements, and quantities. Once production has started based on your approved specifications, changes may incur additional charges and lead time.
- Minimum Order Quantity (MOQ): MOQ varies by product and is stated in each quotation.
3. Pricing, Payment, and Currency
- Currency: Prices are quoted in USD unless otherwise agreed. Other currencies (EUR, RMB, etc.) may be supported subject to prior agreement.
- Payment terms: Standard terms are 30% deposit before production, 70% balance against B/L copy or before shipment, unless otherwise specified in the PI. Other terms (T/T, L/C at sight, escrow via Alibaba Trade Assurance) may be available upon request.
- Bank charges: All bank charges and intermediary fees outside China are borne by the Customer.
- Late payment: Overdue invoices may accrue interest at 1.5% per month or the maximum permitted by applicable law, whichever is lower. We reserve the right to suspend production or shipment for unpaid invoices.
- Taxes and duties: Quoted prices exclude import duties, VAT/GST, customs fees, and any other taxes payable in the destination country, which are the Customer’s responsibility unless DDP terms are explicitly agreed.
4. Shipping, Risk, and Title
- Incoterms: Default shipping terms are FOB Shanghai or FOB Ningbo unless otherwise agreed (Incoterms 2020). EXW, CIF, DAP, and DDP are available upon request.
- Risk of loss: Risk passes to the Customer when goods are loaded onto the carrier at the named port/place per the agreed Incoterms.
- Title: Title to the goods passes to the Customer upon receipt of full payment.
- Delivery dates: Estimated lead times are good-faith estimates, not guarantees. We are not liable for delays caused by force majeure, raw material shortages, customs holds, carrier delays, or other circumstances beyond our reasonable control.
5. Quality, Inspection, and Warranty
- Quality standards: Goods are manufactured to the specifications in the Customer’s approved drawings and our internal quality standards (ISO 9001 quality management system).
- Pre-shipment inspection: The Customer may arrange third-party inspection (SGS, BV, TUV, etc.) at the Customer’s cost prior to shipment. Failure to inspect does not constitute waiver of quality claims.
- Defect notification: Quality claims must be submitted in writing within 30 days of receipt, accompanied by photographs, sample defective items, and a clear description of the issue.
- Limited warranty: SIWINN warrants that products will be free from defects in materials and workmanship under normal industrial use for the period stated in the relevant product specification or quotation. Warranty for SiwinnTag QR asset tags is up to 20 years for outdoor lifespan under normal industrial conditions, subject to product datasheet.
- Remedies: Our sole liability for defective goods is, at our option, replacement, rework, or refund of the affected quantity. We are not liable for installation costs, downtime, lost profits, or consequential damages.
- Exclusions: Warranty does not cover damage from misuse, abnormal environmental conditions, modification, or failure to follow installation/care instructions.
6. Intellectual Property
- Site content: All content on the Sites — including text, images, logos, product photos, designs, and software — is owned by or licensed to SIWINN and protected by copyright, trademark, and other intellectual property laws.
- Trademarks: “SIWINN”, “SiwinnTag”, “赛文科技”, and related logos are trademarks of SIWINN Technology Co., Ltd. Unauthorized use is prohibited.
- Customer-supplied IP: If you provide drawings, designs, brand logos, or other materials for custom production, you represent and warrant that you have all necessary rights and licenses, and you grant SIWINN a non-exclusive, royalty-free license to use such materials solely for the purpose of fulfilling your order.
- SIWINN-developed IP: Tooling, molds, fixtures, and process know-how developed by SIWINN remain our property unless explicitly transferred in writing.
- No infringement: The Customer indemnifies SIWINN against any third-party IP infringement claim arising from materials supplied by the Customer.
7. Confidentiality
Both parties agree to keep confidential any non-public technical, commercial, or business information disclosed during the course of dealings, and to use such information solely for the purpose of the relevant transaction. This obligation survives termination of any contract for 5 years, except for information that becomes publicly available through no fault of the receiving party. NDAs may be signed separately upon request.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- SIWINN’s total aggregate liability arising from or related to any order, the Sites, or these Terms shall not exceed the total amount paid by the Customer for the specific order giving rise to the claim.
- SIWINN shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, loss of data, or production downtime, even if advised of the possibility of such damages.
- Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
9. Force Majeure
Neither party shall be liable for delay or failure to perform caused by events beyond reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, embargo, strike, fire, flood, raw material shortage, power outage, transportation disruption, or carrier failure. The affected party shall promptly notify the other and use reasonable efforts to mitigate the impact.
10. Export Control and Compliance
The Customer represents and warrants that it will comply with all applicable export control laws, sanctions, and trade regulations of China, the United States, the European Union, and the United Nations. The Customer shall not re-export, divert, or transfer goods to any restricted party, embargoed country, or end-use prohibited by applicable law.
11. Privacy
Your use of the Sites and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Governing Law and Dispute Resolution
- Governing law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the People’s Republic of China, excluding its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
- Dispute resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation. If unresolved within 60 days, the dispute shall be finally settled by arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules then in force. The seat of arbitration shall be Shanghai, the language of arbitration shall be English, and the arbitral award shall be final and binding on both parties.
13. Termination and Suspension
We reserve the right to suspend or terminate the Sites, an account, or any pending order if the Customer breaches these Terms, fails to pay outstanding invoices, or engages in fraudulent, unlawful, or abusive conduct. Provisions concerning payment, intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.
14. Modifications
We may revise these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of the Sites or services after changes are posted constitutes acceptance of the revised Terms. For ongoing orders, the Terms in effect at the time of order acceptance shall govern.
15. Entire Agreement and Severability
These Terms, together with any signed Proforma Invoice, Purchase Order, NDA, or supplemental written agreement, constitute the entire agreement between the parties regarding the subject matter and supersede all prior or contemporaneous communications. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
